Board of Directors Meeting Minutes<br />
Wednesday, March 30, 2011<br />
MIDFLORIDA 7th Floor Conference Room</p>
<p>Attending: Daniel Stetson, Lori Powell, Frank McCaulley, Tim Calhoon, Kay Morgan, Lynn Dennis, Jean Bunch, Randy Andersen, Gregg Hooth, Julie Townsend, Ellen Simms,<br />
Absent: Eric Belvin<br />
Guests: Margaret Stephens, Tamara Sakagawa (CRA) and Anne Furr (LDDA)</p>
<p>The meeting was called to order by President Stetson at 8:04 am.</p>
<p>Daniel Stetson thanked the Board for their work and noted that he will resign his position after the April General Meeting.  Stetson is taking a position with the Hunter Museum of American Art in Chattanooga, TN.</p>
<p>Nominating Committee: Frank McCaulley presented the motion from the Nominating Committee that Gregg Hooth be nominated for a position on the DLP Board of the Directors filling Jim Nixon’s seat. Jim Nixon resigned in February 2011 as he left his position with the City of Lakeland.  Gregg Hooth was elected to the DLP Board on a unanimous vote.</p>
<p>Minutes: Kay Morgan presented the minutes of the DLP Board of Director’s meeting of Wednesday, February 23, 2011 for acceptance with a minor change.  Motion to accept was made by Lori Powell, seconded by Frank McCaulley – unanimously approved.  </p>
<p>Treasurer’s Report: Jean Bunch presented the February 28, 2011 financial statements.  A motion to accept the Treasurer’s Reports was made by Lynn Dennis, seconded by Frank McCaulley – unanimously approved.  Ellen Simms presented the projected results of operations showing a projected deficit of $5,919 at year end.   It was noted that cash reserves are adequate to cover any deficit, but that reinstituting the silent auction at the annual luncheon in October (next fiscal year) would rebuild the cash reserves.</p>
<p>Gregg Hooth left the meeting at 8:15 AM.</p>
<p>Proposed by-law changes: Julie Townsend reviewed proposed changes to the by-laws moving the election of the Board of Directors from September to May to allow new Board members to become acclimated to their role before the busy season starts in October.  On a motion by Frank McCaulley, with a second by Lynn Dennis, the Board voted unanimously to authorize the changes in the by-laws as discussed.  The revisions will be noted at the April General Meeting and will be submitted to the Board for vote at the April Board meeting and to the general membership at the May General Meeting.</p>
<p>Committee Reports:</p>
<p>Brewz Crewz – The proposed date for the next event is Saturday, February 18, 2012.  The committee had discussed hosting the event as a fund raiser for the DLP without any other non-profit benefitting.  It was suggested that ticket sales could be enhanced by offering them for sale before the holidays so they could be given as gifts.   The DLP Board must participate to a greater extent in the planning and execution of the event for it to be successful.  </p>
<p>First Friday Committee – April is sponsored by Lighthouse Ministries.  May is in cooperation with the City’s Public Works Department.  June’s theme is “Bicycle Night” in cooperation with Bike Lakeland with CSX being approached to sponsor it&#8230;  July’s theme is “Red, White &#038; Kaboom” in conjunction with the City of Lakeland, although there is some discussion about that partnership at the City level.  The potential for holding another “Motorcycle Mania” First Friday was raised.  It will be a separate Saturday event, and it was noted that each additional event requires manpower and volunteers.</p>
<p>Marketing Committee – Daniel Stetson asked if anyone on the Board would consider becoming the Marketing Committee chair. An ominous silence was noted.  There were no takers.   Julie Townsend noted that the Downtown mobile media application being developed by Invictus will be launched at the end of April.  The development of “QR codes” as a way to promote Downtown was briefly discussed.</p>
<p>Goodie Bag Committee – No report. </p>
<p>Downtown Dish – The next edition of the Dish is scheduled for publication April 28th.  Julie Townsend asked for guidance as to whether to continue the insertion of the Dish into the Ledger on a quarterly basis or not.  There is a cost differential that must be analyzed.</p>
<p>Membership Committee – We currently have 173 members of which 135 are current in their dues.  Invoices for those outstanding were distributed to Board members for personal contact.</p>
<p>Downtown @ Dusk – The March 29th event at The General Store was poorly attended.  The next event is planned for June and will require much more promotion to be successful.</p>
<p>Programs – April’s program is Sandy Horan reviewing the new Mayfaire Florida brand.  May and June’s programs have not been scheduled, but it was suggested that Frank McCaulley contact White Challis to review the proposed Bay Street project and the new LPD Chief, Lisa Womack as possible speakers.</p>
<p>LDDA Report:    Anne Furr reported that the LDDA’s annual report has been published.  Several new businesses have come to Downtown.  Don Nix, City’s Traffic Operations Manager, will speak at the April 21, 2011 LDDA meeting to discuss the timing of traffic lights in Downtown.</p>
<p>CRA Report – Tamara Sakagawa reported that they are developing a quarterly newsletter discussing real estate issues in Downtown.    The Downtown CRA Advisory Board has approved adding a seat on their Board for a DLP representative and asks that the DLP please submit a name.   The topic of Residential/Retail/Entertainment balance will be charge of the developing “Responsible Hospitality Committee.”    There will be a joint meeting of the Downtown and Midtown CRA Board to discuss the entrances to Downtown.  The issue of trash in Downtown as a result of events and normal activity is being reviewed.</p>
<p>Executive Director’s Report: Garden Bistro has been sold to Barbara Reardon who plans to refocus the prospects of a wine bar/nightlife spot.  The repaving of all of Downtown will commence on April 18th.  Most of the work will be performed at night, but will cause come disruption.  Additional parking along Main Street south of Munn Park will be added during this process. </p>
<p>President’s Report: Daniel Stetson thanked everyone for supporting him during his tenure on the Board and noted that he assumed that Frank McCaulley will serve out the remainder of Daniel’s term after he moves. He reminded the Board that a new Vice-President must be elected.   He thanked both Anne Furr and Tamara Sakagawa for attending the meeting noting the importance of cooperation among the organizations is the key to continued success in Downtown.</p>
<p>New Business:<br />
“Pics on the Promenade” is April 8th.  Historic Lakeland and the Lake Morton Neighborhood Association are cooperating on a grant program to encourage people to open up their front porches in the historic district.</p>
<p>With no other business before us, the meeting was adjourned at 9:35 am.</p>

<p><strong>Minutes:</strong> Kay Morgan presented the minutes of the DLP Board of Director’s meeting of Wednesday, January 26, 2011 for acceptance.  Motion to accept was made by Frank McCaulley, seconded by Tim Calhoon – unanimously approved. <br />
<strong>Bay Street Development Plan:</strong>  Tamara Sakagawa and Patricia Hendler, City CRA, reviewed the updated CRA Development Plan including the proposal by White Challis to develop a mixed use, residential project on Bay Street between Kentucky and Tennessee Avenues.  The continuing negotiations between the Midtown CRA and the Salvation Army regarding possible relocation plans were briefly reviewed.<strong></strong></p>
<p><strong>Board of Directors vacancies:  </strong>Daniel Stetson asked that Frank McCaulley, Jean Bunch and Lynn Dennis volunteers for a nominating committee to fill three of the six vacancies.  He reminded us that this is a working board, as opposed to a policy board.</p>
<p><strong> </strong><strong>Treasurer’s Report:</strong> Ellen Simms presented the January 31, 2011 financial statements.  A motion to accept the Treasurer’s Reports was made by Frank McCaulley, seconded by Tim Calhoon – unanimously approved. </p>
<p>Daniel Stetson noted that the Executive Committee will be reviewing the budget for the remainder of the year during the next two weeks to determine the impact of the Brewz Crewz results.  This may result in the reinstatement of the silent auction at the annual luncheon.</p>
<p><strong>Committee Reports:</strong><br />
<span style="text-decoration: underline;">Brewz Crewz</span> – Eric Belvin noted that although ticket sales were not what were expected, the event was a success.  A committee meeting will be held to review the results.  Belvin thanked the Board members for their participation in working the event.</p>
<p><span style="text-decoration: underline;">Tigers on the Town</span>:  Julie Townsend reviewed plans for the February 25<sup>th</sup> event, which is now being sponsored by The Ledger.  Most activity will take place in the Munn Park area, but 35 Flying Tigers players will be located around Downtown for an autograph scavenger hunt.</p>
<p><span style="text-decoration: underline;">First Friday Committee</span> –March is the Skyward Festival in cooperation with Sun ‘n Fun.  April is sponsored by Lighthouse Ministries.  May is in cooperation with the City’s Public Works Department.</p>
<p><span style="text-decoration: underline;">Marketing Committee</span> – Daniel Stetson pointed out that we need a Marketing Committee chair.  Julie Townsend noted that the Downtown mobile media application being developed by Invictus is being tweaked before release.</p>
<p><span style="text-decoration: underline;">Goodie Bag Committee</span> – Lori Powell noted that there are several very large conferences at the Lakeland Center in the near future.  Gregg Hooth is working with Kaiser University to develop a team to maintain Downtown information racks at the Lakeland Center.</p>
<p><span style="text-decoration: underline;">Downtown Dish</span> – The next edition of the <em>Dish</em> is scheduled for publication in late April.</p>
<p><span style="text-decoration: underline;">Membership Committee</span> – We currently have 173 members.  Black Swan on North Kentucky has joined.   In accordance with the policy, the Membership Committee is evaluating an application from Parkview Baptist Church, outside of Downtown and will report at the next meeting.</p>
<p><span style="text-decoration: underline;">Downtown @ Dusk</span> – The next event is planned for March 22<sup>nd</sup> or 29<sup>th</sup> at The General Store with Fresco’s providing catering.</p>
<p><span style="text-decoration: underline;">Lakeland Local Music &amp; Food Festival</span> – Chuck Welch reviewed the tentative plans to host a music and food festival in Downtown in April 2012.  This festival, to be held on a Sunday afternoon, would feature local musicians and restaurants and would be a joint venture between Lakeland Local and the DLP.  Daniel Stetson noted that it could be scheduled to be part of the <em>Mayfaire Florida</em> events.  The potential for “heads in beds” funding from the county was discussed.<br />
<span style="text-decoration: underline;">Programs</span> – The March General Meeting program is Steve Turbeville with Lighthouse Ministries.  He will discuss their programs and their involvement with Downtown, including sponsoring April’s First Friday.  April’s program is Daniel Stetson reviewing the new <em>Mayfaire Florida</em> project.  May’s program has not been scheduled, but it was suggested that Frank McCaulley contact White Challis to review the proposed Bay Street project.</p>
<p>P<strong>resident’s Report:</strong> Daniel Stetson reminded everyone that the immediate priorities for the Boa rd are reviewing the budget, nominations for the Board, formalizing the Board nomination and orientation process, developing our committee structure and working on the new food/music festival.</p>
<p><strong>Executive Director’s Report: </strong>The letters to Tamara Sakagawa (CRA) and Joe Mawhinney (LDDA chair) requesting their participation in DLP Board and/or General Meetings to enhance communication have been mailed.  The letter originally addressed to CRA Advisory Committee Chair, Ford Heacock, will instead be addressed to Mayo r Gow Fields after considering the discussion held at the last LDDA meeting. </p>
<p><strong>Other Business:</strong><br />
Frank McCaulley reported that Trinity Presbyterian Church parking is by permit only during certain hours.</p>
<p>Lori Powell reported that the Fancy Flea (scheduled for April 30<sup>th</sup> in Downtown) is drawing 60 vendors and is being featured in “Romantic Country” and “Flea Market Style” magazines.</p>
<p>Tim Calhoon reported that he is hosting the Downtown Bridal Expo on Saturday, September 24<sup>th</sup> on South Kentucky Avenue.  Lori Powell noted that there is a bridal expo at the Lakeland Center on the following Sunday.</p>
<p>Ellen Simms reported that Terisa Glover’s 2<sup>nd</sup> Annual Author’s &amp; Illustrators Festival will be hosted on South Kentucky on the first Saturday in October.</p>

<p>Attending: Julie Townsend, Carl Stutzman, Gregg Hooth, Ellen Simms, Michael Maguire, Kay Morgan, David Brandt, Gene Turchan, Erin Geiger, Sam Tyburski, Chuck Welch and Daniel Stetson</p>
<p>The meeting was called to order at 8:04 AM.</p>
<p><strong><span style="text-decoration: underline;">Introduction of new committee chairs:</span></strong></p>
<p>Julie Townsend introduced the committee chairs that accepted positions after the last committee meeting:</p>
<p>                Carl Stutzman – Marketing Committee<br />
                Michael Maguire – First Friday<br />
                Gregg Hooth – Goodie Bag Program<br />
                Erin Geiger – Downtown Dish</p>
<p>David Brandt has previously agreed to serve as the VIP Card chair, but resigned due to a potential conflict of interest with his primary business.</p>
<p>All committee chairs are invited to attend the next Board of Director’s meeting on Wednesday, November 17, 2010 in this same location at 8:00 AM.</p>
<p><strong><span style="text-decoration: underline;">Detroit Tigers/City of Lakeland 75<sup>th</sup> Anniversary Presentation:</span></strong></p>
<p>Alice Badcock shared plans for the week long celebration of the 75<sup>th</sup> anniversary of the Detroit Tiger’s relationship with the City of Lakeland – February 22 through February 27, 2011.  They are planning a “Last Friday Family Night” on Friday, February 25, 2011 from 6:00 pm until 10:00 pm in Downtown.  This event will include a “Drive In Movie” in Munn Park featuring “Mr. Baseball” with Tom Selleck, who has been invited to the opening game on Sunday.  The theme of the evening is 50”s family and they want to include roller skating and cars from that era.  They would like for the DLP to partner with them in organizing this Friday night event and promoting it within the DLP to encourage shops and restaurants to stay open and participate.  No outside food vendors will be invited unless there is not adequate response from Downtown restaurants.</p>
<p><em>On a motion from Erin Geiger, with a second from Gregg Hooth, the committee unanimously agreed to partner with the Detroit Tigers and the City of Lakeland on the “Last Friday Family Night” on February 25, 2011.</em></p>
<p><strong>Events &amp; Activities:</strong></p>
<p><span style="text-decoration: underline;">Holiday Walkabout, Tuesday, November 30th</span>: The DLP has purchased materials for holiday related activities to be hosted by DLP members.   We are looking for our non bricks &amp; mortar members who usually set up in Munn Park to host these activities.  To recoup some of the cost, activity wrist bands ($5.00 each) and individual tickets ($0.25 each) will be sold at locations within the three villages and in Munn Park.  The Ledger is giving us a “post it” note on the front of the paper the day of the event.</p>
<p><span style="text-decoration: underline;">First Friday</span>: The committee reviewed the prototype canvas banner that is placed over the street barricades.  Each banner costs $30 for materials, Michael Maguire is developing the design and David Collins (Paint Along Studio) is printing them.  Twelve intersections have been identified for banners.  The option of selling banner sponsorships to cover the $30 cost was discussed.  The idea of banner sponsors will be further investigated to determine the market value of such advertising to First Friday sponsors and others.</p>
<p>Representatives from both North Kentucky and South Kentucky reported problems with people driving around or moving street barricades during the event.  Julie will talk to the two individuals specifically identified as violating the barricades.  Erin Geiger will investigate the possibility of having Lighthouse volunteers man the barricades during the events.  They would act as ambassadors, passing out maps and providing information on alternative routes.  These volunteers would be provided with a “Staff” lanyard and/or T-shirt as a means of identification.   Vendors needing to access the barricades area would be given passes.</p>
<p>Julie and Michael Maguire will attend the November 18<sup>th</sup> Junior League meeting to discuss the possibility of hosting Christmas parade floats throughout Downtown on First Friday, the day after the parade.</p>
<p>The January First Friday theme centers on the Americom Rodeo.  Some activity materials have been purchased.</p>
<p><span style="text-decoration: underline;">Nick’s Mix, Wednesday, December 1</span>: This event replaces the December general meeting and will be held at Hauger-Bunch Realty on South Kentucky starting at 5:30 pm.</p>
<p><span style="text-decoration: underline;">Holiday Fest, Friday, December 10<sup>th: </sup></span> South Kentucky will host photos of your pets with Santa.  Lighthouse Ministries will assist with that activity.</p>
<p><span style="text-decoration: underline;">Breakfast With Santa, Saturday, December 18<sup>th</sup></span>: Hosted at Wakeman’s Parkview with food by Fresco’s, the fee for this event is $25 per person, which includes $10 in Downtown Dollars, breakfast and a photo with Santa.  The potential for a kid oriented goodie bag was discussed.  There will be two seatings of 50 each – 9:00 Am and 10:30 AM.  Lighthouse Ministries will assist with the photos.</p>
<p><strong><span style="text-decoration: underline;">Advertising &amp; Promotions:</span></strong></p>
<p><span style="text-decoration: underline;">The Downtown Dish:</span> The next issue is out in late January, so all copy and ads must be completed two weeks prior.  It is requested at the center map include phone numbers.  The cover may feature the Detroit Tigers’ 75<sup>th</sup> anniversary.</p>
<p><span style="text-decoration: underline;">Goodie bags:</span> Gregg Hooth presented the development of this program by identifying various outlets and target markets; (1) Point of Entry – hotels, Tigers, Chamber, Outpost 27, airport, car rental agencies; (2) Events – Lakeland Center, Tigers, Lake Morton Historic Home Tour; and (3) Residential – First Friday, student orientation.  The possibility of having a variety of levels of quality of bags available was discussed.</p>
<p><span style="text-decoration: underline;">VIP Card 2011:</span> Chair needed – Survey of both participating businesses and people holding the VIP card will be performed before year-end to determine if we’ll repeat it in 2011. </p>
<p><span style="text-decoration: underline;">Webisodes:</span> We have not developed a new webisode since the October First Friday, but are working on new material.</p>
<p>Downtown Dollars Holiday Promotion: A promotional giveaway of $20 Downtown for every $100 purchased was discussed.  The cost to the DLP would be 95% of each of the $20 increment when redeemed.  This promotion would get more Downtown Dollars circulating.</p>
<p><em>On a motion from Michael Maguire, with a second by Kay Morgan, the committee unanimously voted to present this Downtown Dollars promotion to the Board of Directors.</em></p>
<p><strong><span style="text-decoration: underline;">New Business:</span></strong></p>
<p>Tabled – Marketing strategy “What is the product and message we are promoting?”</p>
<p>Fitz Galley on North Kentucky is closing in December.<br />
Pumpernak’s is opening on Trader’s Alley<br />
SugaRush on South Kentucky is closing sometime around year-end.</p>

The meeting was called to order by President Stetson at 8:06 am.</p>
<p> <strong>President’s Report:</strong> The contract with TMS for the 2010/2011 year, as approved by the board at the last meeting has been executed.  Ellen Simms resigned from the board to accept a position with TMS providing support for the DLP.  Daniel thanked the board for believing in him as president and noted that the DLP had enjoyed significant growth during the past few years and recognized Julie’s role in that success.  He noted that the increase in the TMS contract was an investment in future growth of the DLP.</p>
<p><strong>Executive Director’s Report:</strong>  Julie Townsend noted that TMS has also contracted with Chuck Welsh for website maintenance and development, social media development and e-marketing opportunities, and to change the e-blast policy to increase the effectiveness of this form of communication.  Chuck has experience in volunteer and board development and will also be working with the DLP in that capacity.</p>
<p>The DLP and the Dixieland CRA will be hosting a joint seminar on 4 Square, the latest social media application, in the City Commission Chamber at City Hall.  This session will be taped for future reference.  Details are pending.<br />

Julie introduced Carl Stutzman, Sales Manager of the Holiday Inn-South, and the DLP’s new Marketing Chair.<br />

<strong>Minutes:</strong> Kay Morgan presented the minutes of the DLP Board of Director’s meeting of Wednesday, September 29, 2010 for acceptance.  Motion to accept was made by Lori Powell, seconded by Lynn Dennis – unanimously approved.  Kay presented a thank you note from Explorations V Children’s Museum for being awarded the 2010 Golden Swan Award.  She then noted that Keller Williams’ “Terror in Downtown” event was noted in last Saturday’s Ledger Real Estate section.  Daniel noted that the DLP committee chairs were noted in the Ledger’s business section on Tuesday.<br />

<strong>Treasurer’s Report:</strong> In Jean Bunch’s absence, Ellen Simms presented the September 30, 23010 (fiscal year-end) financial statements.   Of particular note was the growth in the Balance Sheet of $19,398 and the net favorable variance from budget of $29,398, due primarily to the continued success of attracting new members and the overall success of Brewz Crewz. A motion to accept the Treasurer’s Report was made by Tim Calhoon and seconded by Frank McCaulley – passed unanimously.<br />

Daniel Stetson made a motion to authorize the new DLP officers to be signers on the MIDFLORIDA accounts.  Motion by Frank McCaulley, with a second by Tim Calhoon – passed unanimously.</p>
<p><strong>Committee Reports:</strong></p>
<p><span style="text-decoration: underline;">Luncheon</span> – Lori Powell noted that people had asked about the silent auction which was replaced as a fund raiser by the Brewz Crewz.  Attendance at the luncheon was up from last year.<br />

<span style="text-decoration: underline;">Membership Committee</span> – Lynn Dennis reviewed the revised membership policy addressing various levels of membership for businesses and organizations outside of the Downtown boundaries and the new application process  (Policy attached for reference)  Frank McCaulley made a motion to allow the Membership Committee to finalize the new membership policy, with a second by Eric Belvin – unanimously approved.  A letter and or visit to each member impacted explaining the change is forthcoming.  Membership application information will be removed from the website until the appropriate updates are made.  Existing members and potential members accessing the current membership information from the website before it was removed will be grandfathered in for the term of their current membership, but the changes will be explained immediately.  On a motion by Frank McCaulley, with a second from Eric Belvin, a one month moratorium on new memberships was granted.</p>
<p><span style="text-decoration: underline;">First Friday Committee</span> – Julie presented a new First Friday participation policy addressing both DLP members and non-members (Policy attached for reference).  Major changes in the policy include deadlines for participation, and application process and $50 fee for non-memberships and the prohibition of all political activity and activity that is damaging or derogatory to groups.  The DLP reserves the right to deny access to any group.  The DLP has signed an exclusive use contract with the City of Lakeland.  On a motion from Tim Calhoon, with a second for Frank McCaulley, the motion passed unanimously.<br />
 <br />
<span style="text-decoration: underline;">Brewz Crewz</span> – Eric Belvin and Julie Townsend are meeting on Tuesday, November 2<sup>nd</sup>, with businesses on Main Street between Tennessee and Kentucky Avenues, and on Kentucky Avenue between Main and Lemon Streets, regarding using this area as the location of the 2011 Brewz Crewz instead of Munn Park.  The City of Lakeland Parks &amp; Rec Dept. has objections to using Munn Park.    Ellen Simms noted that the Parks &amp; Rec Dept has begun charging $111 per month for First Fridays.</p>
<p><span style="text-decoration: underline;">Marketing Committee</span> – Carl Stutzman, committee chair, noted he is reviewing budget and existing marketing programs.  He is excited about the new committee’s energy and will work toward better promotions, more member involvement, and improved policies.</p>
<p> Eric Belvin left the meeting at 9:00 am.</p>
<p> <span style="text-decoration: underline;">Nick’s Mix &amp; Downtown @ Dusk</span> – Tim Calhoon and Lori Powell will co-chair the committee.  These events will occur quarterly.  The Nick’s Mix is scheduled for Wednesday, December 1<sup>st</sup> at Hauger-Bunch.   Member restaurants are asked to donate food for the event.  This is in lieu of the General Meeting.<br />
 <br />
<span style="text-decoration: underline;">VIP Card Program</span> &#8211; David Brandt will not chair this committee because of conflict with his business.  The Marketing Committee will start working on the 2011 program now.<br />
 <br />
<span style="text-decoration: underline;">Programs</span> &#8211; Frank McCaulley will chair this committee.  Jim Studiale or Gow Fields will review high-speed rail at the November 3<sup>rd</sup> meeting.<br />
 <br />
<span style="text-decoration: underline;">Goodie Bags Program</span> – The new bags are here (10,000).  We need information  form participants for inclusion.<br />
 <br />
 Julie Townsend requested that all chair positions should be on a calendar year and not the DLP’s fiscal year (September 30) to better address the natural cycle of DLP events.  After brief discussion lead by Daniel, the board agreed.<br />
 <br />
<strong>Other Business:</strong><br />
 <br />
The CRA contract for 2010/2011funding ($30,000) has been signed.  Besides our usual business, this contract obligates the DLP to plan a new event for execution in 2012.<br />
 <br />
Daniel extended an invitation to all committee chairs to attend next month’s board meeting.<br />
 <br />
Julie asked that committee chairs submit written reports for inclusion in the board packet that is submitted on the Friday prior to board meetings.  She also noted that 9:30 am is the official meeting ending time.<br />
 <br />
Daniel noted that the check has been cut for the October TMS contract payment based on the new contract.  Daniel asked for and received approval from the board for Julie to provide the second signature as no other signatories were available.<br />
 <br />
The November board meeting will be held on Wednesday, November 17<sup>th</sup> to avoid the Thanksgiving holiday.  The December board meeting will be held on Wednesday, December 15<sup>th</sup> to avoid the Christmas and New Year’s holidays.  E-mails will be sent out to insure a quorum at the meetings.<br />
 <br />
Sheila King is selling Sugarush – asking price is $49,900.</p>
<p>Bay Street Bistro is opening in the space vacated by The Antiquarian.   Owners are former employees of Gary Schmidt.  Lori noted that this is a potential Downtown at Dusk site.</p>
